Moll Wendén has acted as legal advisor to Mutares SE & Co. KGaA (“Mutares”) and its subsidiary GDL Anläggning & Miljö AB in connection with the signing of a sale and purchase agreement regarding the acquisition of M3 Schakt AB, M3 Rental AB and Schaktförmedlingen Sverige AB (“M3 Group”). M3 Group is a Swedish transportation, construction and machine rental service provider specializing in infrastructure projects, including subways, roads, and railways.
The acquisition is a strategic add-on acquisition for GDL Anläggning & Miljö AB that strengthens Mutares’ Infrastructure & Special Industry segment and its presence on the Nordic market. For GDL Anläggning & Miljö AB, the acquisition offers synergies, a strategic geographical expansion, as well as strengthening of all business areas.
The transaction is expected to close in the fourth quarter of 2025, subject to customary regulatory approvals.
