Moll Wendén has advised Subgen AI AB in connection with the voluntary public takeover offer to the shareholders of the Spanish company Substrate Artificial Inteligence S.A.
Subgen AI is an enterprise artificial intelligence company, building data centers and delivering AI services to clients in sectors such as healthcare, energy, legal, and human resources. Subgen AI operates across Europe, Latin America, and the United States and is listed on Nasdaq First North Growth Market in Sweden.
Substrate AI is a Spanish technology company building sovereign, AI-native digital infrastructure. The company designs and operates the next-generation GPU data centers and has developed a fully sovereign AI cloud, Substrate Cloud, and an AI agent studio, Serenity Star. Substrate AI is listed on the BME Growth segment of BME MTF Equity in Spain.
Through the voluntary public takeover offer to the shareholders of Substrate AI, Subgen AI controls approximately 38.7 per cent of the capital and approximately 39.0 per cent of the votes in Substrate AI. The consideration in the voluntary takeover offer was paid through an issue in kind.
