Moll Wendén has been main legal advisor to Nederman in its acquisition of Gasmet Technologies Oy, a world-leading company within the area of FTIR gas analysis and emissions monitoring with more than 100 employees globally.
Gasmet which was founded in 1990 is the leading FTIR (Fourier Transform Infrared Spectroscopy) gas analyser and emissions monitoring system provider, with more than 30 years of FTIR experience. The company develops, manufactures and markets complete solutions for monitoring industrial emissions and portable instruments to study climate change and ensure people’s safety.
Gasmet is based in Helsinki but operates globally through wholly-owned entities in Germany, the United Kingdom, Hong Kong, Canada and Austria. During the financial year of 2018, the Gasmet group had a turnover of almost 21 million euros and for 2019 the turnover is likely to grow significantly.
The acquisition price amounts to an enterprise value of approximately EUR 56 million on a cash and debt-free basis.

Speximo develops and formulates sustainable products in the cosmetics industry. The technology has been developed from quinoa grains and is therefore both natural and sustainable. The patented technology was developed through research conducted at Lund University.

Moll Wendén has been the legal advisor to MKB Fastighets AB in its acquisition of Mansonite Invest AB with the subsidiary Skånska Strand AB.
The acquisition included the associated properties Malmö Spiran 1 and Malmö Spiran 2, which are located at Krossverksgatan 3, Limhamn. The properties have been acquired through a company transaction for an underlying property value of SEK 110 million. Occupation took place on September 6, 2019. The seller was the Cypriot company Xenano Holdings Ltd.
Through the acquisition, MKB Fastighets AB is given a prerequisite to maintain a continued high rate of new production. The intention is to build, on the acquired properties, a further 90 new apartments and 50 residential homes. The leasehold estates are expected to be ready for occupancy in 2023.

Encitech Connectors AB is a Swedish manufacturer and distributor of electronics components for the industry and has a turnover of approximately SEK 50 million and is exported to about twenty different countries.
Beijer Tech AB is a Nordic industrial trading group and is one of three divisions of listed company Beijer Alma AB, which acquires companies with a long-term ownership perspective.

Moll Wendén has been the legal advisor for Region Skåne for the formation of an agreement with Öresundståg AB concerning the train depot in Kärråkra.
In Kärråkra, north of Hässleholm, Region Skåne is building Sweden’s most modern train depot. The depot, which is expected to be operational in 2020, will maintain all 111 Öresund trains and trains belonging to Skånetrafiken. Maintenance of the Öresund trains was previously carried out in Denmark, but will now be moved to the new depot in Kärråkra.
The facility provides around 150 new jobs in Skåne and has a production cost of SEK 1.5 billion. The train depot comprises buildings of roughly 20,000 m² (215278 ft²). The buildings are divided into a workshop with offices and warehouses, a combination hall for washing, remediation and deicing, a wheel yard, a building for cleaning and several cleaning platforms. In total, there will be room for up to 35 trainsets.
An agreement has been concluded between Region Skåne and Öresundståg AB for the provision of the maintenance depot for a period of 25 years with the possibility of extension. The rental cost is estimated to be approximately SEK 95 million per year. Öresundståg AB will in turn lease the entire facility to an external operator who will be responsible for the operation and maintenance.

Veidekke has started a collaboration with BayWa r.e., which will build six new wind turbines in Slageryd outside Vetlanda.
The project, which is a turnkey contract, began in December 2018 and includes the construction of foundations, road to the works, crane sites and restoration work. The project is expected to be completed in spring 2020 and has an order total of SEK 27 million.
From Moll Wendén, lawyer Johan Håkansson has been Veidekke’s advisor in legal matters.
Veidekke and Eolus Vind AB have entered an agreement for the construction of foundations and roads for 31 new wind turbines in Bäckhammar in the municipalities of Kristinehamn and Degerfors.
The project began in January and the wind turbines are expected to be ready in mid-February 2020. The construction project is a turnkey contract with an order sum of SEK 182 million.

Orbital Systems, which has developed an innovative shower technology, enters into a loan agreement with the European Investment Bank. Through the agreement, Orbital Systems can borrow up to 15 million euros, provided that the corresponding amount is also taken into equity.
The money will be used for production development as part of the company’s continued expansion. The development loan included in the so-called Juncker Plan is part of the EU’s initiative offered to companies active in fighting climate change. The EIB has approximately 600 million euros per year to lend to companies that work with climate issues.

Rörman i Svedala AB has been a specialist in heating and plumbing since 1979. The company offers among others installations of geothermal and air/water heat pumps. With clients like Svedala Municipality, Sandvik, City of Malmö and HSB housing cooperatives, Rörman’s net sales amounted to approximately 30 million SEK for the financial year 2017/18. Today Rörman is part of Instalco, an installation company which continues its expansion in southern Sweden.

The acquisition is based on the “locked box” mechanism and its price amounts to CHF 28.5 million, based on consolidated equity capital as of December 31, 2017.

The acquisition is of major strategic importance for Geia Food as it cements Geia Food’s position in the Swedish market and expands sales in Sweden to approximately SEK 400 million for the fiscal year 2018. The acquisition, therefore, provides a good foundation for future expansion in Scandinavia, where Sweden plays a key role.

Since 1997, Grimstorps Byggkomponenter AB (GBK) has established itself as an important supplier of high-quality building components and houses to several of Sweden’s leading construction companies. In addition, they also manufacture and sell it´s own frames and house components under the brand “Nässjöhus”. GBK has become known as a flexible and cost-effective supplier with fast lead times and reliable deliveries. Teqnion also takes over both the salesmen Håkan Wahlberg and Magnus Franzén who will continue in their current roles.
Teqnion is a Swedish industrial trade group that operates within narrow technical charts for industry in the Nordic region. Its 8 subsidiaries operate in industries such as laboratory equipment, electricity, design and workshop. The acquisition is part of Teqnion’s strategy to optimize subsidiaries’ operations and increase growth through acquisitions of other companies. Teqnion was founded in 2006 and now has sales of approximately MSEK 200 and MSEK 15 in operating profit.

Moll Wendén and Lars Weibull AB acted as advisors to the sellers when Sigma Connectivity acquired Lundinova, a Lund-based product innovation company active in electronics, software and systemic design.
Lundinova AB, which gets the new name Sigma Lundinova AB, is based in Lund and currently has around 30 employees. They have experience of working in smaller projects with highly qualified and flexible engineers and will therefore support the growing demand for cost-effective, smaller projects mainly in the Swedish market for Sigma Connectivity.

Moll Wendén and Lars Weibull were the sellers’ advisers when three flooring wholesalers were acquired by Storskogen.
During April, Storskogen acquired three wholesale companies in flooring and tiles. The three companies are SVEGAB i Växjö AB (“SVEGAB”) with the subsidiary SVEGAB i Malmö AB, Fredriksson & Berglund – Golvgrossisten i Skövde AB (“Fredbergs”) and Golv- & Byggterminalen i Norrköping AB (“Golv & Bygg”). All three companies have a strong position within their respective geography and a customer base that stretches from southern Skåne up to Mälardalen.
The operations will be reorganised after the acquisition to form one entity. The companies today have approximately 40 employees and a turnover of approximately SEK 270 million (R12) and an EBITDA result of approximately SEK 25 million.

Moll Wendén has assisted Nederman in its acquisition of Auburn FilterSense LLC. The acquisition price is approximately USD 5.75 million with a potential maximum earn-out payment of USD 2.5 million based on profitability for 2018 and 2019.
Auburn FilterSense LLC holds several decades of experience and application knowledge from more than 75,000 units and installations sold, bringing technology and support to help customers worldwide reduce emissions and improve operations. Auburn FilterSense LLC, with approximately 30 employees, had a turnover in 2017 of USD 6.2 million and will be part of Nederman’s Insight organization.

Eon Sweden has after procurement signed an agreement with Castellum to build their new nordic headquarters for about 1500 employees near the central station in Malmö.
The plans for the new building incorporates 24 500 square meters of rentable area. The work with the detailed development plan and building permits are about to start immediately. The estimated time for conduct is 24 months and the move in will proceed in summer 2021.
The 12 year long rental agreement between Castellum and Eon starts after the move in and will generate a yearly revenue of 68,5 million sek. The new giant office was designed by Kanozi architects and will be characterized by extraordinary sustainable and environmental thought. The investment is calculated to 1,1 billion sek.

Orbital Systems was founded in 2012 by industrial designer Mehrdad Mahdjoubi in Lund, and the company has developed a water- and energy-saving shower system.
Now the company has taken in another SEK 30 million from Sandberg Development to strengthen Orbital Systems in its commercialization phase. Martin Jonsson, president and CEO of Sandberg Development also takes a seat on Orbital Systems’ board.

Assisted by Moll Wendén, XANO has of the 2nd January 2018 acquired all shares in Blowtech Group AB. Blowtech is a leading Nordic player in technical blow moulding of plastics.
Blowtech produces complex components for vehicles, construction machinery and infrastructure equipment. The company has built up a very strong market presence, particularly in the Nordic region, using its extensive experience of blow moulding acquired over many years. Blowtech Group has production facilities in Gnosjö, Sweden, and Kongsvinger, Norway, with a workforce of some 120 employees.
The acquisition also includes LTBP Sweden AB, in whose property the Swedish operations are located. The business has a turnover of SEK 250 million with an operating margin of approximately 12% and a balance sheet total of SEK 200 million. The acquired operations are expected to contribute annual earnings per share of SEK 1.25.
The XANO Group consists of niche engineering companies offering manufacturing and development services for industrial products and automation equipment. The Group is represented in the Nordic countries, Estonia, the Netherlands, Poland, China and the United States. The Group’s operations are divided into the business units Industrial Solutions, Precision Technology and Rotational Moulding. XANO’s Series B share has been listed on Nasdaq Stockholm since 1988.
In conjunction with the acquisition, XANO’s Rotational Moulding business unit will undergo a restructuring process and will change its name to Industrial Products at the end of the year. Blowtech will become part of this along with Cipax and Ackurat.

On 12 December 2017, AS Harju Elekter signed a contract to acquire all the shares of the Swedish company SEBAB AB and its subsidiary Grytek AB from the company Tnåa AB. Lars Weibull AB and Moll Wendén acted as sell side advisor.
SEBAB is a marketing and engineering company for MV/LV power and distribution solutions for the construction, infrastructure and renewable energy sector. The company is headquartered in Malmö with its sales, production, warehouse and service units. Company’s branch offices, offering technical solutions, are also located in Stockholm, Borlänge and elsewhere in Sweden. Grytek AB is a producer of technical buildings. In 2016, turnover of the companies amounted to 12.0 million euros in total.
Harju Elekter Group is today one of the biggest manufacturer of electrical equipment and materials in the Baltic See region. The group employs more than 500 people and has it´s headquarters in Keila, Estonia. Harju Elekter’s shares are listed on Nasdaq Tallinn.
Harju Elekter Group has been active on the Swedish market since 2010, delivering substations and industrial automation solutions to Swedish clients. As a result of this transaction, new prospective market segments will be entered in Sweden, and the Group’s product portfolio will be expanded. Harju Elekter Group’s capability to offer its Swedish clients more complete technical solutions and turn-key projects as well as service support will increase with the acquisition of SEBAB and Grytec.
The transaction price for the two companies was 3.6 million euros, of which 3.0 million euros will be paid on 8 January 2018, the date of entry into force of the transaction, with the delayed part of payment being payable in accordance with the agreement. The acquired companies will initially continue to use their names and trademarks, operating as 100% subsidiaries of the Group.
It was a complete victory in the Supreme Court for the Estonian wooden house producer Matek, represented by Moll Wendén, in a highly publicized case against Länsförsäkringar where Länsförsäkringar argued that Matek’s trademark infringed Länsförsäkringar’s registered Community trademark (judgment issued on 22 November 2017 in case T 3403-14). Moll Wendén has represented Matek in Svea Court of Appeals, the European Court of Justice and now the Supreme Court in the case which contains several interesting trademark law issues.
Despite the relatively high brand similarity, the Supreme Court agrees with Matek and finds that there is no risk that an average consumer confuses the trademarks or finds an economic link between the companies.
Two important reasons for this conclusion are that the relevant public consist mainly of professional agents and that the trademarks are associated with products that are seldom or never subject to “spontaneous purchases”. Matek is also deemed not to have infringed the expanded protection that Länsförsäkringar’s trademark possesses.

Moll Wendén has advised Acconeer on the heavily over-subscribed 180 MSEK initial public offering (IPO) of Acconeer on Nasdaq First North, which valued the company at 475 MSEK.
Acconeer was listed today (11 December 2017) in Malmö, Sweden. Moreover, the company was the first company ever to be officially listed on Nasdaq First North Stockholm outside of the Nasdaq headquarters in Stockholm.
The semiconductor company Acconeer was founded in 2011 by researchers from Lund University. On the basis of their research Acconeer has developed a complete, high-precision microwave radar system integrated on a single chip that can be integrated in battery driven and compact electronic devices.

Enza Biotech AB, a research enterprise established as a spin-out company from Lund University, has been acquired by Croda International PLC (’Croda’). Moll Wendén has advised the sellers in the acquisition.
Enza Biotech was founded in 2012 by researchers at Lund University with the aim to develop the next generation of renewable surfactants using carbohydrate-based chemistry. Croda makes, creates and sells innovative and sustainable speciality chemicals.

Bring Frigo AB has sold all shares in the logistics company Bring SCM to IKEA Food Supply AG. Bring SCM, based in Helsingborg, is part of the Bring group which is owned by Posten Norge AS. Bring SCM and IKEA have been partners for twenty years.
Bring SCM has about a hundred employees with high-level competence within logistics and distribution sector. In addition, Bring SCM provides specially developed IT systems and a global network of subcontractors for transport and storage. Bring SCM offers complete solutions for development and operation of an effective supply chain, including for example production planning, purchases, order processing, stocking, deliveries, customer service, advisory services and financial services.

Ages Industri AB (publ) (“AGES”) has on 3 May 2017 acquired all shares in Hörle Automatic Gruppen AB (“Hörle Automatic”). Hörle Automatic is a well-established supplier in cutting, pipe processing, welding, castings and forging. The company has operations in Hörle (just north of Värnamo) and in Ningbo, China.
The customers can be found in industries such as vehicles, warehouse trucks, agricultural equipment, and industry. The group employs a total of 130 people and had a turnover of SEK 212 million last year.
The purchase price amounts to SEK 150 million, which is partly paid in cash with SEK 120 million, and partly with 240,000 newly issued shares in AGES for a total value of approximately SEK 30 million.
Hörle Automatic broadens AGES’s customer offering within cutting processing and provides an entry into partially new market areas. Hörle complements existing operations well both in terms of production technology and competence. A close collaboration with other companies in the group is expected to strengthen AGES’s position on the market and enable new business. Through the acquisition, AGES also gains access to new interesting customers as well as an established operation in China.
AGES’s operations mainly include aluminum and zinc die-casting, metal cutting, and assembly. Production is concentrated on component manufacturing in larger series with a high proportion of sales to the automotive industry. AGES B share is listed on Nasdaq Stockholm First North.

The founders of Addnature has trough their company CaMa Intressenter AB on 13 January 2017 acquired all the shares in CaMa Gruppen AB from CaMa Holding AB.
CaMa Gruppen is a steadily growing e-commerce company selling carpets and hats to European consumers. The products are sold through the established online stores Trendcarpet and Hatshop. The sales today cover ten European countries and the company’s online sales are adjusted to the language and payment solutions specific to each individual company. The company was founded in the autumn of 2008 in Gothenburg by Magnus Skoglund and is based in Mölndal.
Since it was founded, CaMa Gruppen has had a yearly growth of around 40 % and has maintained its profitability. The company’s turnover will exceed SEK 20,000,000 this year. The founder of CaMa Gruppen, Magnus Skoglund, has reinvested in the buyer CaMa Intressenter AB which is now owned jointly by Magnus Skoglund, David Rönnberg, René Köhler, Klas Berggren, Mathias Hedström and Martin Larsson. The sale was brokered by Lars Weibull AB.

KB 18 Företagsförädling AB has on 27 January 2017 through its subsidiary KB 18 Lövbråten acquired all shares in Consentio Ledarskap AB. The sellers of the company are the company’s founders conducting the sale through their jointly owned company Workspirit AB.
Consentio Ledarskap AB is holding management courses across Sweden from its bases in Kristianstad and Örebro. The company was founded in 1998 by four colleagues from the educational section of the Swedish military where they worked together in the field of management development, education, and different group processes for several years.
Consentio Ledarskap AB had a turnover of ca 17 million SEK in 2016, making a good profit. KB 18 Företagsförädling AB is a smaller investment company which acquires, manages and develops small and medium sized companies.
The idea behind the company is to be a long term investor and an active owner. Consentio Ledarskap AB is KB18 Företagsförädling’s fourth acquisition as the company already owns Emmlight AB, Watt&VEKE AB and AB Svensk Formteknik. The sale was brokered by Lars Weibull AB.

ELF Development A/S, a Danish apartment developer, enters as a new actor on the Swedish real estate market when acquiring 20 000 m2 surface rights by the sea in Limhamns Läge. The Seller was Bonava and the transaction was made in form of a corporate transaction.
The former cement factory area has recently been rebuilt to an attractive residential area, where Elf Development now is planning to build apartments. A new organisation under a Swedish company, ELF Develoment AB, which is currently establishing an office in Malmö, is about to take place in order to start the project.
ELF Development currently has a project portfolio of 200 000 m2 in the greater city of Copenhagen. A part of this is developing by management of ELF Development’s own real estate portfolio, which at the moment has a value of approximately SEK 1,8 billion.

Angel investors join forces in the company Fast Track Capital I AB (FTC) to invest in start-up companies that are accepted into the accelerator Fast Track Malmö.
As a first step the angel investors will invest SEK 6 million in FTC, which will suffice for approximately three batches of companies from Fast Track Malmö. The accelerator Fast Track Malmö’s operations is conducted after a joint initiative by Minc, Malmö Startups, Almi Invest and Invest in Skåne.

XANO has signed an agreement, via a subsidiary, to buy all the shares in the Danish company Jorgensen Engineering A/S. Moll Wendén was legal advisor to XANO in the transaction.
Jorgensen is a leading international automation company that supplies and integrates equipment and complete packaging solutions. Jorgensen offers a wide range of packaging machinery and solutions to customers within the milk powder, food, pharmaceuticals and pet food segments. The company is situated in Odense, Denmark, and has around 110 employees.
During the financial year 2015/2016, revenue totaled DKK 275 million with an operating margin of approx. 13 percent.
The purchase sum, to be paid in cash, totals DKK 245 million on a debt free basis. The acquisition is expected to contribute SEK 3.50 in earnings per share on a yearly basis. The transaction is contingent on a confirmatory due diligence and is expected to be completed during November.
Jorgensen will be a part of XANO’s Industrial Solutions business unit. The product range is contiguous and complementary to Fredriksons’ and Canline’s conveyor solutions for the packaging industry as well as NPB’s automation equipment for lid handling.
The acquisition will bring additional expertise to the operations of the business unit and access to new market segments. A close working relationship between the companies will strengthen the individual entities and the shared resources will enable them to provide the market with complete end-to-end solutions and the capacity to execute large-scale automation projects.
Simpliday AB has recently raised SEK 5.5 million in capital through a new issue of shares. The calendar app Simpliday provide the user with a better overview of all personal commitments by bringing together your calendars to-dos, email and meetings into one app.
Simpliday launched the calendar app earlier this year and has since then, at several occasions, been chosen as “Hot This Week” by Apple in Apple’s App Store in 13 different countries.

Castellum has sold the commercial property Smörkärnan 1, Öresundsvägen, in Lund. The buyer was Ikano Bostad and the sales price amounted to MSEK 107.
The total area is approximately 7 800 square meters with Tetra Pak as the principal tenant. The property deal was made in form of a corporate transaction and the transfer took place on 1 November 2016. Ikano Bostad plans to rebuild the property to approximately 350 apartments.

Texo Application AB, which has a pre-existing cooperation with IKEA, will now become a part of Inter Ikea and will be an important part of IKEA’s work to improve the effectiveness of stockpile management and to further improve the customer experience at the IKEA stores around the world. At completion of the transaction, a cooperation agreement has been entered into between Texo Application AB and its former sister company Texo AB.

Fastighets AB Briggen has sold three properties for industrial and office use in the area Elisedal in southern Malmö, as part of the company’s portfolio movement. The total area is approximately 5,250 square meters and the sales price amounted to MSEK 27.
The buyer was VARIANT Fastighets AB, a private and local real estate company that focuses on industrial, warehouse and office properties in Malmö and Lund.

As previously reported, the Estonian wooden house producer Matek succeeded in a trade mark dispute against Länsförsäkringar in Svea Court of Appeal (see press release dated 09/06 2014). By the Svea Court of Appeal’s judgement, dated 3 June 2014, the Court decided that Matek was free to use its trademark in Sweden (see Judgement T 6270-13).
Länsförsäkringar argued that Matek’s trademark infringed Länsförsäkringar’s registered Community trademark. However, the Court of Appeal held that there was no risk for interchangeability, first and foremost since it is the real and effective activity of the proprietor that needs to be compared to the activity of the alleged infringer. Länsförsäkringar is not a wooden house producer. Svea Court of Appeal held that formal-registered Community trademarks – i.e. trademarks not used for the goods or services that they have been registered for – offers no protection if not corresponding to the actual use of the mark. The judgement discussed a number of interesting issues relating to trademarks.
After Länsförsäkringar’s appeal to the Swedish Supreme Court, the Supreme Court concluded that the case contains questions regarding EU trade mark law that are not yet clarified. Hence, the Swedish Supreme Court has decided to stay the proceedings and ask the EU Court of Justice for a preliminary ruling on the interpretation and application of the EU trademark regulation in regards to what effect that the proprietor has not made actual use of the Community trade mark for the goods or services that the registration entails, within the period of five years from the registration, has on the exclusive and sole right of the proprietor. The case is pending.

The municipal company Hässleholm Industibyggnads AB together with the subsidiary Hässleholm Norra Station AB have concluded an agreement with the training enterprise P&L Nordic AB regarding the rental of offices premises in a new production house, named M6, at Norra Station next to Resecentrum in Hässleholm.
The start of production of house M6, that includes 1,800 m2 commercial offices and premises for education and training, is scheduled to autumn 2016. P&L has, through an option clause in the agreement, been granted the possibility to acquire the real estate including house M6 throughout the rental period. In total, the municipal companies plan to invest SEK 40 million.

The site-leasehold right is situated on an advantageous location in regards to communications, at Spillepengen industrial estate in Malmö. The grant of access is 5 February 2016.

Stefan Wendén, Ulrica Dahlberg and Zara Hellmark at Moll Wendén Law firm assisted Briggen with the acquisition of two real estates in Lund. The real estate in question, Lerstenen 1 and Lerstenen 2 at Gastelyckan, was acquired for more than SEK 26 million.
The real estates, covering a total of 3,650 m2, are currently leased to Ahlsells, Stavdal and the Municipality of Lund. The grant of access was on 1 February.
Litorina IV acquires the majority of shares in KungSängen, a leading Swedish manufacturer and retailer of beds and bed accessories. The company has a turnover of more than SEK 300 million and sells more than 30,000 beds per year. The Gustafsson family, previously owners of KungSängen, remain as a significant partner together with Litorina. Lars Weibull AB was the seller’s advisor in the transaction. Moll Wendén assisted the seller with legal advice.
KungSängen is a strong brand on the Swedish bed market. It has grown organically since its foundation in 1998 and now has a turnover of more than SEK 300 million. The range consists of high-quality beds, bed linen and other bedroom accessories under its own brand – KungSängen.
Sales are mainly to consumers through 37 KungSängen stores and their own online store in Sweden, as well as through retailers in Finland. The majority of KungSängen’s bed manufacturing is done according to customer specification in the company’s own production unit in Enköping.

Moll Wendén has been assigned to represent one of Sweden’s finest logistic companies within the food sector in connection with a distribution agreement with a major fast food chain.
The property Prästgårdarna 5 is situated on Djäknegatan, Malmö and consist of about 7 200 square metres of office space and approximaterly 3 000 square metres of other commercial space. Valad Property Group was the seller. The purchase sum was approximately 120 million SEK.
The property Laxen 16 is situated at Trianglen, Malmö and accommodates 1 431 square metres of commercial space and 3 324 square metres of residential space. Akelius Fastigheter was the seller.
The Tax Board decided that modules owned by Expandia Moduluthyrning AB and being let to different customers in need of temporary buildings should be treated by Expandia Moduluthyrning AB as “buildings” and not as equipment when calculating the yearly depreciations for tax purposes.
The Tax Board consequently raised the company’s taxable income for 2005 with 23 million SEK. However, after the company appealed the decision by the Tax Board, both the County Administrative Court and the Administrative Court of Appeal decided that the legal definition for tax purpose of “buildings” should be decided according to civil law.
Considering also the construction of the modules, the terms for use and rental agreements, the Courts agreed that the modules should not be treated as “buildings” for tax purposes.

The company has a leading position within its niche and mainly supplies Swedish and Danish customers. Automationspartner estimates a turnover of 100 million SEK and to have a continuously positive development.
NVS Installation has, from the two founders Kent Vestin and Lars Vestin, acquired all shares in the installation- and service company Sundsvalls Rörteknik AB.
Sundsvalls Rörteknik AB has the Nordic process industry as its main customer group, and the company has about 50 employees with considerable experience in license welding and assembly of industry piping. Sundsvalls Rörteknik AB will become a new NVS-branch in Sundsvall and part of the business unit NVS Industry.
The dispute between MKB and Rimp AB (former Fiberdata AB) has its origin in Fiberdata AB’s delivery of equipment to MKB’s broadband network between 2000 abd 2002. MKB cancelled the agreement with Fiberdata AB and claimed damages for the loss MKB had suffered. During the process, Fiberdata AB has changed name to Rimp AB and sold the business to antoher company. No known business is run by Rimp AB today. The company is a subsidiary to the listed company HiFab Group AB (publ.) (former Thalamus).
Malmö District Court found that MKB was entitled to cancel the agreement and to claim damages. Rimp AB shall therefore immediately pay 27 017 219 SEK as well as interest and legal costs to MKB.
In total, MKB’s claim amounts to 45 000 000 SEK as of the day of the verdict. MKB has applied for immediate execution of the verdict.
During a few hours in January 2005 more than 60 millon square meter forest fell in the south part of Sweden due to the storm Gudrun. This corresponds to several yerars of annual felling for the land owners.
Soon after the storm a subsidiary company to the listed company Rörvik Timber came to an agreement with several subcontractors regarding cutting of trees that fell during the storm. A subcontractor from the north part of Sweden sued Rörvik Timber, claiming damages for the amount of 10 million SEK, alleging breach of contract.
On April 27, 2009 the Eksjö District Court announced its verdict in the case. According to the District Court, Rörvik Timber was not liable to pay damages to the subcontractor, and the subcontractor’s claim was consequently dismissed.
The verdict is of principal interest as a number of similar cases currently are handled by the Swedish courts.

The company was sold to Adrea i Malmö AB through its subsidiary Moderbolaget Anemon AB. The transaction was made through Lars Weibull AB who acted as intermediary.
NVS is one of the Nordic region’s leading installation companies with approximately 2,400 employees and a turnover of approximately SEK 3,300 million. The business includes installations within heating and sanitation, industry, ventilation, cooling, and sprinklers as well as service and maintenance. NVS has around 90 offices in Sweden, Norway, and Finland.

Today, RMV’s customers are mainly in Sweden, but the company also sells to a number of customers around the world. RMV today has a turnover of approximately SEK 50 million. The previous owners will continue in business.
The buyer was Investment AB Latour via the subsidiary AB Sigfrid Stenberg, which is the parent company in the Machine Trade business area. The deal was brokered by Lars Weibull AB. Skandinaviska Chuckfabriken has a turnover of SEK 53 million with good profitability and is Scandinavia’s only manufacturer of chucks.
The products, which consist of chucks, back discs, clamping jaws, and special jaws, are mainly sold on the Swedish market. The company’s customers are machine manufacturers, machine dealers, and end users of metalworking machines.
