Founded in 1974, Euro-Equip has a strong market position in designing and selling equipment and complex turnkey solutions to foundries, metal recycling, and the aluminum smelting market. The acquisition of Euro-Equip enhances Nederman’s capabilities and offerings in Spain, Mexico, and other parts of the world. Euro-Equip’s headquarters are in Lezama, Spain, and the company has approximately 30 employees.

Euro-Equip has a turnover of approximately EUR 22 million and the acquisition is made for a purchase price based on an enterprise value of approximately EUR 15 million.

In February, the EU adopted Regulation (EU) 2025/40 on packaging and packaging waste (“PPWR”). Its goal is to reduce packaging waste and create a harmonised market for packaging across the EU. The regulation takes effect on 12 August 2026, with some provisions introduced later. Companies that manufacture, distribute, or import packaging must ensure compliance – or risk sanctions.

PPWR introduces requirements across the entire packaging life cycle, including:

Distributors and importers must also ensure compliance. Each EU country will introduce a producer register and extend companies’ obligations, including new reporting, registration, and financial commitments. Rules for sanctions will also be established.

The renowned family business Erik A. Olssons Mekaniska Verkstad AB, located in Kristianstad, has been acquired by NPO Industrier AB. Moll Wendén has been the buyer’s legal advisor.

Erik A. Olssons Mekaniska Verkstad AB’s history dates back to the 1880’s, when the company was founded in Tollarp in the county of Kristianstad. The company has since developed and is today one of Sweden’s leading companies in advanced welding and machine cutting. On January 9th this year, Erik A. Olssons Mekaniska Verkstad AB was acquired by NPO Industrier AB, and will thus be part of a group of prominent companies together with Höganäs Verkstads AB and Osby Mekan AB. Through the acquisition, Erik A. Olssons Mekaniska Verkstad AB strengthens its position as a leading company in the engineering industry.

Moll Wendén has acted as legal advisor to OXE Marine AB (publ) in a comprehensive recapitalisation. The recapitalisation has included a fully secured rights issue of approximately SEK 78 million, a directed share issue to the bondholders to set off all outstanding bonds and a restructuring of the company’s debt financing with the EIB of approximately SEK 243 million. The recapitalisation means that the company’s financial position pro forma goes from a significant net debt to a net cash position.

OXE Marine AB, founded in 2012, is a company based in Sweden that is behind the world’s first high-performance diesel outboard engine. The company’s unique and patented solutions for high torque transmission between powerhead and lower leg has led to a global high demand for the company’s outboards.

Moll Wendén has acted as legal advisor to Nederman Holding AB in connection with its acquisition of the majority of shares in the Danish company Olicem A/S. Through the acquisition, Nederman strengthens its range of solutions and its Monitoring & Control Technology (M&CT) division.

Founded in 2019, Olicem specialises in measurement and emissions reporting within the European market with sales worldwide. With the company’s system, users can ensure and report that emission levels do not exceed legal requirements in waste incineration plants and in several other industries. The requirement to measure in real-time and report emission levels is an increasing demand from authorities to ensure good air quality, not only in Europe but also increasingly worldwide.

The acquisition price suggests a company value of 50 million DKK, with an option to acquire the remaining shares within a specified timeframe.

The sale and purchase agreement was signed in July and closing took place on 26 September 2024.

Duroair has a unique market position in designing, manufacturing and selling climate controlled air filtration with US and Canada as the main markets. Duroair’s unique and flexible enclosures and filtration systems trap and extract fumes, dust and gases created by coating, grinding, sanding and adhesive bonding processes. The company has a strong position within the defense, aerospace and industrial manufacturing industries. 

The acquisition is made for a purchase price based on an enterprise value of approximately CAD 11 million plus a potential earn out.

Investment Aktiebolaget Spiltan has acquired 47 % of Scandinavian Crusher Partner AB, with co-founder Michael Wallén retaining 53 % of the shares and taking over the role as CEO.  During the past financial year, Scandinavian Crusher Partner had a total annual turnover of approximately SEK 70 million and an operating profit (EBIT) of SEK 11 million. Moll Wendén was, Grustenius Aktiebolag’s, the seller’s legal advisor in the transaction.

Scandinavian Crusher Partner, established in 2010, is a supplier of machinery, wear and spare parts and services in the stone crushing industry, which is a central part of mining as well as construction of roads, railways and housing. 

Investment Aktiebolaget Spiltan is an investment company that purchases and owns minority shares in Swedish growth companies, both listed and unlisted, without a set exit strategy. The company has a diversified portfolio worth SEK 8.5 billion, including sectors such as tech, finance, real estate and industry.

Malmö based J2 Sourcing AB has acquired the shares in AAAAA Nordic AB (5A) in Vellinge. The acquisition is a first step in building a new business unit within the J2 Group. Moll Wendén was the sellers’ legal advisor in the transaction.

5A is an established supplier of selected electronic components from qualitative manufacturers. With a broad product portfolio, the company offers cost-effective solutions with high delivery precision to contract manufacturers and the manufacturing industry in the Nordics. Bo Nilsson founded the company in 1997 and will now step down as CEO.

J2 Sourcing is a leading distributor of electronic components based in Malmö. The company started in 2004, employs about 120 people and the customers are leading brands in the manufacturing industry in Europe. J2 Sourcing has offices in Malmö, London and Tokyo.

The dispute over the Nefertiti trademark has now been finalised by the Supreme Court, which does not grant the opposing party leave to appeal in the case. This means that the judgement from the Patent and Market Court of Appeal stands and the processing of Jazzklubben Nefertiti’s application cases can now resume at the Swedish Intellectual Property Office. 

In June 2022, the Patent and Market Court ruled in favour of Jazzklubben Nefertiti AB, which currently operates Nefertiti at Hvitfeldtsplatsen 6 in Gothenburg. On December 21st in 2023, the Patent and Market Court of Appeal confirmed the judgment, which became final with the Supreme Court’s decision on April 26th in 2024.

The beverage company Saturnus has been operated by the Liepe family in Malmö since the 1920s. Edward Liepe, CEO of Saturnus and now also Eurosweet, has increased the annual turnover tenfold since he joined the company in 1990 and developed the company into Sweden’s largest manufacturer of mulled wine and spiced spirits.

Eurosweet was founded in 1993 and has since then been active in promotional candy and delivered high-quality and innovative promotional candy to customers throughout the Nordic region. The company’s products will continue to be sold under the Eurosweet brand and operations will continue to be conducted in Malmö.

The company collaborates closely with multiple manufacturers in Europe, enabling it to offer a wide range of products from small isolation transformers to larger power transformers and reactors for manufacturing industries and power and utility companies.

Southern Lights raises 1.6 million euro in new capital. Southern Light’s software will help energy companies with green hydrogen projects as part of the green transition. The investment will be used for recruitment, further commercialization and product development. The investors include the new green Finnish VC fund Greencode Ventures, German Wepa Ventures and Swedish Bling Capital.

Southern Lights’ software platform provides a comprehensive suite of tools that streamline and optimize the development of green hydrogen projects, making it easier for energy companies to plan, finance, and execute these projects.

The dispute over the trademark Nefertiti has been decided by the Patent and Market Court of Appeal. The jazz association that summoned Jazzklubben Nefertiti AB has not proven a preferential right to the trademark Nefertiti.

The legendary club Nefertiti at Hvitfeldtsplatsen 6 in Gothenburg is run by Jazzklubben Nefertiti AB, which acquired the business after the previous owner went bankrupt at the beginning of the COVID-19 pandemic. The former owner of the bankrupt company, Jazzföreningen Nefertiti, has claimed in court to have better rights to two trademark applications covering the Nefertiti trademark.

In June 2022, the Patent and Market Court ruled in favor of Jazzklubben Nefertiti AB, which currently operates the trademark Nefertiti. On December 21st, 2023, the Patent and Market Court of Appeal upheld the judgment, which may however be appealed.

Lagercrantz Group Aktiebolag (”Lagercrantz”) has acquired 97% of the shares in Material Handling Modules Europe AB (”MH Modules”). Therefore, MH Modules will become part of a technology group that offers value-creating technology, either with its own products or with products from leading suppliers. The Group has around 2,600 employees and a turnover of over SEK 7,900 million. Moll Wendén was the sellers’ legal advisor in the transaction.

MH Modules is a leading Nordic supplier of modularized roller conveyor and pallet handling systems to integrators in the automation industry. MH Modules is based in Glemmingebro in south-eastern Skåne and has a turnover of around SEK 90 million with good profitability. With high competence and application knowledge, MH Modules has created a unique position in the industry and built a high level of trust among machine and system builders in Sweden and the Nordic region. MH Modules will be part of the Niche Products division from December 2023.

This year, the Medeon scholarship goes to Rashmi Prasad at Lund University’s Diabetes Center (LUDC). She receives the award for her research on diabetes and heredity. The prize is awarded during World Diabetes Day on November 14.

This year’s recipient for the Medeon scholarship is Rashmi Prasad at Lund University’s Diabetes Center (LUDC). The prize is awarded due to her research on the hereditary factors of diabetes (type 2). She also examines how the fetal environment impacts of the fetus affects the risk of developing diabetes and whether it is possible to reduce these through taking specific measures during pregnancy. Rashmi Prasad’s research is expected to lead to individually adapted prevention options in the long run.

The Medeon scholarship of SEK 50,000 is awarded each year by Medeon in collaboration with Moll Wendén Advokatbyrå to a promising researcher. Those who have been awarded the scholarship so far have been researchers in the field of diabetes. Since 2011, when it was awarded for the first time, a total of 12 people from LUDC have received the scholarship. At LUDC more than 300 people work in more than 30 research groups to map and investigate the mechanisms behind diabetes and its complications.

The scholarship is awarded during World Diabetes Day on November 14 at Studio in Malmö. L-G C has been a well-established brand for 26 years and the acquisition of L-G C is a clear starting point as Hjo Installation continues to focus on technical insulation and creates this as a fourth segment in its offering. It will be the tenth company within this segment. The company was founded in Växjö and has eight affiliate in different locations in Sweden.

L-G C Isolering was founded in 1997 by Lars-Göran Carlson and Raymound Andersson, who were the company’s main owners until Hjo Installation acquired the company. L-G C Isolering is Sweden’s largest privately owned technical insulation company, with approximately 120 employees and a turnover of approximately SEK 180 million.

Solstenen i Skåne AB has been acquired by the Nordic care company Humana Vuxna Holding AB. Moll Wendén was the seller’s legal advisor in the transaction.

Solstenen i Skåne AB offers drug-assisted treatments for opioid addiction for patients who meet the criteria for LARO treatment. The company is one of Sweden’s largest private MAT (medication assisted treatment) providers and consists of five outpatient clinics: Lund, Helsingborg, Landskrona, Ängelholm and Höör.

Solstenen possesses high competence and is among the providers in Skåne who have the longest experience. The company operates within free healthcare choice in Skåne and through their solid, qualitative work, they have continuously increased the number of enrolled patients since the start of operations in 2014. During their last financial year, Solstenen’s full-year revenues amounted to SEK 46 million. The acquisition strengthens Humana’s offering in LARO operations. Through the acquisition, Humana strengthens its range of services helping more people with healthcare needs and thus expand its social contribution.

Moll Wendén has advised MKB Fastighets AB in an acquisition from Jernhusen of a real estate company owning a large property in eastern Malmö. On 28th October 2022 MKB transferred the real estate company to a holding company jointly owned by HSB, Hub Park and MKB. 

Moll Wendén has acted as legal advisor to MKB in an acquisition from Jernhusen of a real estate company owning a property of approximately 72 000 square meters located close to Värnhemstorget and Östervärn station in Malmö.

On 28th October 2022 representatives of MKB, HSB and Hub Park gathered at Moll Wendén’s office on Stortorget in Malmö to finalise and execute MKB’s transfer of the acquired real estate company to a holding company jointly owned by the parties. The jointly owned holding company aims to develop, evolve and manage the future urban district of Nya Ellstorp. The urban district will form a central and multi-faceted hub consisting of a pre-school, school, shops, market square, leasehold estates, condominiums, parks, mobility hubs and much more. Through the project approximately 1 800 people will be provided new housing.

For almost three years, MKB, HSB, and Hub Park have been working on developing a zoning plan for the area. During this time, Moll Wendén has recurringly advised MKB.

As a result of the executed closing of the transaction, almost three years of preparatory work comes to an end. Consequently, the design and the construction of the new district can now begin.

Calmark aims to become the global leader in POC diagnostics for newborns and, in the long term, to offer all relevant tests for the first period of life. The jazz association declared its wholly owned limited company Jazzklubben Nefertiti AB bankrupt in the spring of 2020. The company’s operations, including associated rental premises and intellectual property rights, were acquired in a closed auction by the buyer Nef Swe AB (Nef), with the aim of saving the legendary club scene that Nefertiti represents in Gothenburg.

In the business acquired by the receiver there were two trademark applications, to which the jazz association claimed to have a better right. The association did not want the buyers to be allowed to use the Nefertiti brand at all for the operations at Hvitfeldtsplatsen 6 in Gothenburg. The jazz association therefore objected to registration with PRV and subsequently sued Nef in court.

The Patent and Market Court has now decided the matter as the first instance, on 20 June 2022. The Jazz Association’s action is dismissed because no better right to the trademark applications (Nefertiti) has been shown in the case. The court states, among other things, that the activities of the association and the subsidiary were conducted together and that the trademark was largely used as a location determinant for the club at Hvitfeldtsplatsen 6 in Gothenburg, which has been run by the subsidiary since 1982. If the judgment gains legal force, the processing of trademark applications at PRV will resume.

The agreement is based on a flexible leasing model, which enables Medeon to provide laboratory capacity with varying areas and rental periods. At the end of January, Orbital Systems announced that they had raised an additional $ 23 million in its latest investment round. Debricked is developing a function in order to analyze open source and identify security flaws. Open source code is popular amongst coders because it accessed freely. However, due to being accessible, open source can also pose a security threat.

Moll Wendén acts as legal advisor to AegirBio AB in connection with the signing of a sale and purchase agreement regarding acquisition of Dynamic Code AB (publ). Provided that all shareholders participate in the sale of shares and that all warrants are acquired, the purchase price will be of approximately SEK 1,5 billion in total. The purchase price shall be paid partly through a cash payment, and partly in shares in AegirBio.

The transaction is intended to be completed on 1 November 2021, whereupon AegirBio will issue shares through a share issue in kind pursuant to the authorisation granted by the general meeting. The acquisition is conditioned on completed due diligence as well as that 95 percent of the shareholders in Dynamic Code accede to the Sale and Purchase Agreement.

In connection with the acquisition, Moll Wendén advised AegirBio in a directed new issue of SEK 127.4 million. The capital injection from the new share issue as well as a loan financing of SEK 75 million is primarily intended to be used to finance the acquisition of Dynamic Code and to enable further acquisitions.

Dynamic Code develops and offers smart diagnostic and health care testing solutions for diseases based on rigourous DNA technology that is utilized in both traditional health care and for customers. Dynamic Code is a Linköping-based company with approximately 60 employees and a turnover of SEK 278 million.

AegirBio will, through the acquisition, expand its offer with an all-in-one complete solution that offers a total chain from test to treatment. Thus, AegirBio is strengthening its offering in the market for patient-centered tests with another company.

Orbital Systems takes in SEK 200 million in new capital to finance an expansion. The investors include the investment company Öresund, Formica Ventures and NREP.

Orbital Systems has developed an energy- and water-saving shower. In the past, they have aimed at estate companies, hotels and villa owners. However, in 2020, Orbital Systems also started selling the shower to consumers via its own e-commerce.

The acquisition presents MKB with the opportunity to develop and produce 230 new apartments in accordance with a recently adopted detailed development plan and to continue with the expansion of its property portfolio in the eastern part of Malmö.

Ikano Bostad was the seller of the property and MKB’s acquisition was conducted via a corporate transaction based on an underlying property value of MSEK 62. MKB is estimated to gain access to the property during the fourth quarter of 2021 and construction is estimated to begin during summer 2022.

MKB, a company owned by the city of Malmö, is one of Sweden’s largest public housing companies with 25,300 rental apartments and 1,100 premises in the metropolitan area of Malmö. MKB manages and builds a wide variety of attractive apartments for Malmö’s population. Currently, MKB has approximately 1,000 rental apartments under construction and an equal amount is in the projection stage of construction. For the construction of new rental apartments, the availability of detailed land eligible for construction is a crucial factor for the continued growth and success of MKB.

Moll Wendén has acted as legal advisor to a Danish buyer in the acquisition of the woodland estates Horvhult and Gassgöljhult, located in Kronoberg County.

The estates encompass a combined area of 133 hectares, with approximately 120 hectares of productive woodland. The acquisition has been conducted via a combined real estate transaction with a purchase price of approximately MSEK 21. The sellers are ten religious organisations and the transfer of the woodland estates was finalised in March 2021.

Two smaller farm holdings and adjacent land for pasture and farming were included in the transfer. The woodland estates contain a large estimated amount of high-quality lumber with good opportunities for future logging activities.

Urban Green is headquartered in Stockholm and has production facilities in Vislanda. They provide large complex roofing contracts where the aim is to both create a solution to the stormwater problem and create a social space for meetings and socializing.

Urban Green has 27 employees and an annual turnover of approximately SEK 50 million. The company complements Nordic Waterproofing’s existing Veg Tech operation.

These two companies strengthens the offering of services and products to Nordic Waterproofing’s customers in green solutions for urban environments.

During the autumn of 2020, Moll Wendén advised MKB Fastighets AB in the formation of a development agreement with the city of Malmö for the urban area Holma in Malmö.

MKB and the city of Malmö have, through the development agreement, agreed to jointly exploit and develop southern and central Holma in Malmö. As part of this collaboration, MKB and Malmö City must work together to implement a number of detailed plans.

Through the collaboration, the parties will develop the urban area Holma through construction of approximately 1,500 new residences, premises for town centre activities, new green spaces adapted for children and young people and promenade paths within the area. At the same time, Pildammsvägen is to be converted into a urban road with bus services.

Trans El Matic AB has been acquired by Ernströmgruppen. Moll Wendén was the seller’s legal advisor in the transaction.

Trans El Matic AB is a Swedish system supplier within the field of electric power and automation technology, and provides solutions to estate automation, distribution panels of lightning and heating, and distribution boards for small and large industrial applications. The company has a strong position on the market and is providing innovative and effective solutions from its facilities in Jönköping. 

Along with its subsidiary Nässjö Elkonstruktion AB, Trans El Matic AB has a turnover of approximately 65 million Swedish kronor and employs about 35 people. Through the acquisition, Trans El Matic AB will become Ernströmgruppen’s fourth addition to its area of electrical engineering. The sale was conveyed by Lars Weibull AB.

In March 2020, Moll Wendén advised MKB Fastighets AB in its acquisition of a larger property in the urban area Ellstorp in Malmö. Moll Wendén has now advised MKB in its entering into a collaboration with HSB and Hub Park for the joint development of the area Nya Ellstorp.

MKB, HSB and Hub Park will, through a jointly owned company, develop the area and work for a detailed development plan based on the consultative proposal that has already been drawn up.

Through the collaboration and the development of the property, with a total of 72,540 square meters of ready-to-build land, a new residential area will be built. This includes 750 residences for around 1,800 people, preschool, mobility hubs, residential homes, commercial premises, square and park. Of the residences, approximately 450 will be leasehold estate and 300 condominiums.

The emerging neighborhoods will be permeated by innovative environmentally and climate-smart buildings and efficient mobility solutions. The property will be built in stages and the first occupancy is planned for the end of 2023.

EKOVENT has 64 employees and is a market leading ventilation company for fire & smoke protection. EKOVENT has its head office and two production facilities in Vellinge, outside Malmö, as well as sales offices in Stockholm and Gothenburg. In 2019, EKOVENT had sales of approximately SEK 123 million with an operating margin in line with Lindab’s profitability. EKOVENT mainly manufactures products for fire & smoke protection but also offers other ventilation products such as roof hoods, louvres, dampers and fans. The acquisition complements Lindab on many levels and strengthens Lindab’s position in fire & smoke protection in Sweden.

Moll Wendén has acted as legal advisor to Lindab in its acquisition of Crenna Plåt Aktiebolag, a leading manufacturer of rectangular ventilation ducts in the Swedish market.

Crenna, which has approximately 85 employees, has production units in Enköping, Stockholm and Gothenburg and had sales of approximately SEK 120 m in the financial year 2019/20. The company is a market leading manufacturer of high-quality rectangular ventilation ducts in the highest tightness class and also offers a wide range of silencers. With the acquisition, Lindab will have a complete range of ventilation ducts in Sweden.

Moll Wendén has been the legal advisor to a Danish buyer in its acquisition of Astensmåla skog and Hjortabråne skog, two forest properties with a common area of ​​139.5 hectares, with 126.1 hectares of productive woodland, located in western Blekinge. The properties were acquired through a combined property transaction and the buyer occupied the properties on June 17, 2020. The purchase price is not official.

The purchase also included two 1.5-storey residences, three forestry buildings and a modern machine hall. The properties are assessed to have a very high growing stock with high profitability and good opportunities for future logging.

Tojos Plast Aktiebolag has been acquired by Prototal Industries AB. Moll Wendén was the seller’s legal advisor in the transaction.

Tojos Plast Aktiebolag was founded in the 1950s and is today a successful moulding specialist of polymer products with a modern and highly automated production facility. The customer base spans across numerous industries. Tojos Plast Aktiebolag has an annual turnover of around 40 MSEK.

TrollDental, a manufacturer of dental products, was established in 1972 in Trollhättan. The Troll portfolio mainly consists of dental X-ray related equipment such as sensor holders, covers and articulating foil. The products are sold worldwide with reported turnover in 2019 of approximately 25 MSEK.

Moll Wendén has been the legal advisor to a Danish buyer in its acquisition of Kalerum Skogar, a foresty property of 1,938 hectares, with 1,638 hectares of productive woodland located east of Valdemarsvik.

The property has been acquired in a company transaction through the purchase of all shares in Kalerum Gård AB. The buyer occupied the shares on April 15, 2020. The purchase price is not official.

The purchase also included a hunting camp, tree stands, sauna, boat house, butchery and a couple of small torps. The forest land also has a well-planned and maintained road network. The property’s forest stands is judged to be very well managed, despite the fact that it is in its best active growth, there are already opportunities for logging.

Moll Wendén has been the legal advisor to MKB Fastighets AB in its acquisition of a propery in Ellstorp at Värnhemstorget and Övervärn station in Malmö. This gives MKB opportunities to build 600 new apartments and to develop the urban area around Östervärn.

The seller is Jernhusen and the property transaction is carried out as a company transaction with an underlying property value of SEK 166 million. The contract require that MKB will continue the development with mixed forms of assignment. The contract includes approximately 600 apartments as well as a preschool and parking houses, a total of eight blocks. MKB will carry out development in the area together with other actors. Occupation is expected to take place in 2021 when zoning of the area has been established.

MKB, which is owned by Malmö City, is one of Sweden’s largest social housing companies with roughly 24,500 leasehold estates and 1,100 premises throughout Malmö. The company manages and builds a wide and differentiated range of attractive apartments for the population of Malmö. Right now, the company has around 900 leasehold estates under production. Moll Wendén has been main legal advisor to Nederman in its acquisition of Gasmet Technologies Oy, a world-leading company within the area of FTIR gas analysis and emissions monitoring with more than 100 employees globally.

Gasmet which was founded in 1990 is the leading FTIR (Fourier Transform Infrared Spectroscopy) gas analyser and emissions monitoring system provider, with more than 30 years of FTIR experience. The company develops, manufactures and markets complete solutions for monitoring industrial emissions and portable instruments to study climate change and ensure people’s safety.

Gasmet is based in Helsinki but operates globally through wholly-owned entities in Germany, the United Kingdom, Hong Kong, Canada and Austria. During the financial year of 2018, the Gasmet group had a turnover of almost 21 million euros and for 2019 the turnover is likely to grow significantly.

The acquisition price amounts to an enterprise value of approximately EUR 56 million on a cash and debt-free basis.
